1. Acceptance of these terms

These Terms & Conditions (“Terms”) govern your use of the YourBrand website and any services provided by [Company Legal Name] (“YourBrand”, “we”, “us”). By using our website or engaging us, you agree to these Terms. If you do not agree, please do not use our website or services.

2. Our services

We provide digital marketing services including SEO, AI search optimisation (GEO & AEO), Google Business Profile management, PPC and Google Ads, social media marketing, content marketing and web design and development. The scope, deliverables, timelines and fees for each project are set out in a written proposal, statement of work or service agreement (“Agreement”). If an Agreement conflicts with these Terms, the Agreement applies.

3. No guarantee of results

Search engines, social platforms and AI assistants control their own algorithms and policies, which change without notice. We use professional skill and industry best practice, but we cannot guarantee specific rankings, traffic, leads, sales or placement in AI-generated answers. Any figures we share are estimates or past results, not promises.

4. Client responsibilities

To deliver good results you agree to:

  • Provide accurate information and timely access to your website, analytics, ad and social accounts.
  • Give feedback and approvals within a reasonable time; delays may move timelines.
  • Make sure you own or have the right to use all materials you supply (logos, images, text, data).
  • Follow the policies of the platforms we use on your behalf (for example Google and Meta advertising policies).

5. Fees and payment

  • Fees are stated in the Agreement. Pricing depends on factors such as your competitors, location, goals and the scope of work.
  • Invoices are payable within [14] days unless agreed otherwise. Late payments may incur interest at [00]% per month and may pause work.
  • Advertising spend (for example Google Ads or Meta Ads budgets) is paid directly to the platform or invoiced separately and is not included in our fees unless stated.
  • Fees are exclusive of applicable taxes such as GST or VAT.

6. Contract term and cancellation

Unless the Agreement says otherwise, monthly services continue until cancelled with [30] days’ written notice. We do not use long lock-in contracts. You remain responsible for fees for work done up to the end of the notice period. We may suspend or end services if payments are overdue or these Terms are breached.

7. Intellectual property

After full payment, you own the final deliverables created specifically for you (such as written content and website designs), except for third-party materials, open-source components and our pre-existing tools, templates and know-how, which remain ours or their owners’. You give us permission to use your materials to deliver the services. Unless you tell us otherwise, we may mention your name and show non-confidential results in our portfolio and case studies.

8. Confidentiality

Each party will keep the other’s non-public business information confidential and use it only for the purposes of the services, except where disclosure is required by law.

9. Third-party tools and platforms

Our services rely on third-party platforms and tools. We are not responsible for their outages, policy changes, account suspensions or fees. You are responsible for your own accounts with these platforms.

10. Website use

You agree not to misuse our website, including attempting to gain unauthorised access, introducing malware, scraping content without permission or using it for unlawful purposes. Content on this website is protected by copyright and may not be copied or reused without our written consent.

11. Limitation of liability

To the maximum extent permitted by law, YourBrand is not liable for indirect, incidental or consequential losses, including lost profits, revenue or data. Our total liability for any claim relating to the services is limited to the fees you paid us in the [3] months before the claim arose. Nothing in these Terms limits liability that cannot be limited by law.

12. Indemnity

You agree to cover reasonable losses we suffer because of materials you supplied that infringe someone else’s rights, or because you used our deliverables unlawfully.

13. Governing law and disputes

These Terms are governed by the laws of [State / Country]. We will try to resolve any dispute in good faith first. If that fails, the courts of [City, State / Country] have jurisdiction, unless the Agreement provides for arbitration.

14. Changes to these terms

We may update these Terms from time to time. The “Last updated” date at the top shows the latest version. Continued use of our website or services after changes means you accept the updated Terms.
